Definitions<\/span><\/i><\/b><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">The words and expressions contained in<br \/>these general conditions (hereinafter General Conditions) shall have the<br \/>meaning specified here-below:<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">\u201cContract\u201d: this General Conditions, as<br \/>integrated by the Letter of Confirmation;<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">\u201cEvent\u201d: the event to which the Participant<br \/>is registered;<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">\u201cPrice\u201d: the total price of the Services;<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">\u201cOrganising Secretariat\u201d: Publi Creations<br \/>SAM\u201d \u2013 Lena Group;<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">\u201cServices\u201d: the activities that the<br \/>Organising Secretariat undertakes to perform in favour of the Participant.<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">\u201cParticipant\u201d: the person entering into the<br \/>Contract with the Organising Secretariat;<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">\u201cLetter of Confirmation\u201d: the letter, sent<br \/>to the Participant by the Organising Secretariat, containing,\u00a0<i>inter<br \/>alia<\/i>, the Services.<\/span><\/p><p class=\"MsoNormal\"><b><i><span lang=\"EN-US\">2. Extension and limits of the<br \/>Services<\/span><\/i><\/b><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">Organising Secretariat undertakes to<br \/>perform in compliance with the Contract only the activities specifically<br \/>mentioned in the Letter of Confirmation. Organising Secretariat shall not<br \/>perform further and\/or different activities other than the ones specifically<br \/>indicated in the Letter of Confirmation.<\/span><\/p><p class=\"MsoNormal\"><b><i><span lang=\"EN-US\">3. Forfeiture of the indemnity right<br \/>\u2013 Limitation of liability<\/span><\/i><\/b><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">Departing from each different applicable<br \/>provision, any defect, error and\/or dissimilarity (hereinafter Defects) of one<br \/>or more services as regards to what specifically specified in the Letter of<br \/>Confirmation, shall be communicated in writing to the Organising Secretariat,<br \/>under penalty of forfeiture, within 30 days from the completion of the relevant<br \/>service(s), it being understood that, in any case, the Defects, whether well<br \/>recognized by the Organising Secretariat, may only result in a reduction of the<br \/>value of the service(s) concerned, taking into account the severity of the<br \/>Defects. The liability of the Organising Secretariat in such cases is expressly<br \/>excluded for any direct or indirect, foreseeable or unforeseeable, typical or<br \/>non-typical or consequential damages or loss of profits, whether derived from<br \/>torts, breaches of contract, culpa in contrahendo, positive breach of duty or<br \/>any other legal theory.<\/span><\/p><p class=\"MsoNormal\"><b><i><span lang=\"EN-US\">4. Currency \u2013 Invoicing and default<br \/>interests<\/span><\/i><\/b><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">All the prices in the Letter of<br \/>Confirmation are in Euro. In case of modifications in VAT or other taxes, the<br \/>Organising Secretariat reserves the right to inform the Participant and<br \/>readjusts the prices.<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">Terms and conditions of payments of the<br \/>fees and the Services are stated in the Letter of Confirmation and are not<br \/>subject to any reduction or discount.<\/span><\/p><p class=\"MsoNormal\"><b><i><span lang=\"EN-US\">5. Responsibility and force majeure<\/span><\/i><\/b><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">The Organising Secretariat will not be<br \/>responsible for any delay or impossibility of performing the Services due to<br \/>circumstances out of its control.<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">The liability of the Organising Secretariat<br \/>for any direct or indirect, foreseeable or unforeseeable, typical or<br \/>non-typical or consequential damages or loss of profits, whether derived from<br \/>torts, breaches of contract, culpa in contrahendo, positive breach of duty or<br \/>any other legal theory is hereby expressly excluded.<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">The Organising Secretariat shall not be<br \/>liable in case of delay and\/or default in performing the Services whether such<br \/>delay and\/or default is due or anyhow connected to events, actions or omissions<br \/>such as strikes, lock-out, lack of workers, riots, war, threat or preparations<br \/>for war, fires, eruption, sabotage, storm, flood, earthquake, epidemic,<br \/>pandemic, production facility\u2019s breakdowns, collapse of buildings, execution of<br \/>orders of the Public Authorities, requisitions, lack of raw materials or fuel or<br \/>any other source of energy, block of transportation and, in general, to an<br \/>event or circumstance that prevents or impedes the Organising Secretariat from<br \/>performing one or more of its contractual obligations under the Contract<br \/>(hereinafter Force Majeure).<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">It is agreed that, whether an event<br \/>referred to in paragraph above occurs:<\/span><\/p><ul style=\"margin-top: 0cm;\" type=\"disc\"><li class=\"MsoNormal\"><span lang=\"EN-US\">the Organising Secretariat shall give notice of the event, in a<br \/>reasonable period, to the Participant;<\/span><\/li><li class=\"MsoNormal\"><span lang=\"EN-US\">the Organising Secretariat shall be relieved from its duty to<br \/>perform its obligations under the Contract and from any liability in<br \/>damages or from any other contractual remedy for breach of contract, from<br \/>the time at which the impediment causes inability to perform.<\/span><\/li><\/ul><p class=\"MsoNormal\"><span lang=\"EN-US\">Where the effect of the impediment or event<br \/>invoked is temporary, the consequences set out under paragraph above shall<br \/>apply only as long as the impediment invoked prevents performance by the<br \/>Organising Secretariat of its contractual obligations, it being understood that<br \/>the Organising Secretariat shall notify the Participant, in a reasonable<br \/>period, as soon as the impediment ceases to impede performance of its<br \/>contractual obligations.<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">Where the duration of the impediment<br \/>invoked has the effect of substantially depriving the Organising Secretariat of<br \/>what it was reasonably entitled to expect under the Contract and in any case<br \/>whether the duration of the impediment (i) exceeds 60 days, whether the<br \/>commencement of the impediment occurs no sooner than 180 days from the<br \/>beginning of the Event or (ii) exceeds 5 working days, whether the commencement<br \/>of the impediment occurs no sooner than 20 days from the beginning of the Event<br \/>or (iii) last at least 1 working day, whether the commencement of the<br \/>impediment occurs within 5 days from the beginning of the Event or during the<br \/>Event, the Organising Secretariat shall have the right to terminate the<br \/>Contract by notification within a reasonable period to the Participant.<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">Where paragraph above applies and where the<br \/>Participant has, by reason of anything done by the Organising Secretariat in<br \/>the performance of the Contract, derived a benefit before the termination of<br \/>the Contract, the Participant shall pay to the Organising Secretariat a sum of<br \/>money equivalent to the value of such benefit.<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">Without prejudice of the above, in case the<br \/>Event is cancelled due to Force Majeure the Organising Secretariat shall<br \/>reimburse to the Participant the sums paid according to the Contract with<br \/>deduction of:<\/span><\/p><ol style=\"margin-top: 0cm;\" start=\"1\" type=\"1\"><li class=\"MsoNormal\"><span lang=\"EN-US\">all the documented penalties applied by the Organising<br \/>Secretariat\u2019 suppliers (including but not limited to hotels, restaurant,<br \/>airlines and so forth) not recoverable,<\/span><\/li><li class=\"MsoNormal\"><span lang=\"EN-US\">a fee of 10% calculated on the total amount referred to in<br \/>point (1) as consideration for the activities carried on by the Organising<br \/>Secretariat.<\/span><\/li><\/ol><p class=\"MsoNormal\"><span lang=\"EN-US\">It is agreed that the Organising<br \/>Secretariat may postpone the reimbursement to the Participant having regard to<br \/>the refund period requested by the Organising Secretariat\u2019 suppliers in order<br \/>to reimburse the Organising Secretariat for the sums paid.<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">In case the Event is postponed due to Force<br \/>Majeure the following shall apply:<\/span><\/p><ul style=\"margin-top: 0cm;\" type=\"disc\"><li class=\"MsoNormal\"><span lang=\"EN-US\">the Organising Secretariat shall keep, as an advance payment,<br \/>all the sums already paid by the Participant;<\/span><\/li><li class=\"MsoNormal\"><span lang=\"EN-US\">the Organising Secretariat shall make its best efforts in order<br \/>to:<\/span><\/li><\/ul><ol style=\"margin-top: 0cm;\" start=\"1\" type=\"1\"><li class=\"MsoNormal\"><span lang=\"EN-US\">postpone the Services according to the changing date of the<br \/>Event;<\/span><\/li><li class=\"MsoNormal\"><span lang=\"EN-US\">minimize the penalties applied by the Organising Secretariat\u2019<br \/>suppliers as a result of the postponing of the Services, it being<br \/>understood that all the penalties shall be charged to the Participant.<\/span><\/li><\/ol><p class=\"MsoNormal\"><b><i><span lang=\"EN-US\">6. Right of privacy<\/span><\/i><\/b><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">For details on how we use your data please<br \/>refer to our <a href=\"https:\/\/ifmad.org\/2025\/?page_id=250\">Privacy Policy<\/a>.<\/span><\/p><p class=\"MsoNormal\"><b><i><span lang=\"EN-US\">7. Applicable law \u2013 Place of<br \/>Jurisdiction<\/span><\/i><\/b><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">This Contract shall be governed by and<br \/>construed in accordance with the laws of the Principality of Monaco. Any<br \/>dispute related or connected to the present Contract shall be settled by the<br \/>Principality of Monaco Court System.<\/span><\/p><p class=\"MsoNormal\"><b><i><span lang=\"EN-US\">8. Miscellaneous<\/span><\/i><\/b><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">Unless expressly agreed, no variation or<br \/>waiver of any provision or condition of the Contract shall constitute a general<br \/>variation or waiver of any provision or condition of the Contract, nor shall it<br \/>affect any rights, obligations or liabilities under or pursuant to the Contract<br \/>which have already accrued up to the date of variation or waiver, and the<br \/>rights and obligations of the parties under or pursuant to the Contract shall<br \/>remain in full force and effect, except and only to the extent that they are so<br \/>varied or waived.<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">If any term of the Contract is found to be<br \/>illegal, invalid or unenforceable under any applicable law, such term shall,<br \/>insofar as it is severable from the remaining terms, be deemed omitted from the<br \/>Contract and shall in no way affect the legality, validity or enforceability of<br \/>the remaining terms.<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">Provisions of the Contract which either are<br \/>expressed to survive its expiry or termination or from their nature or context<br \/>it is contemplated that they are to survive such termination, shall remain in<br \/>full force and effect notwithstanding such expiry or termination.<\/span><\/p><p class=\"MsoNormal\"><b><i><span lang=\"EN-US\">9. Image Rights and License<\/span><\/i><\/b><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">The Participant acknowledges and agrees to<br \/>being filmed and photographed at the occasion of the Conference, as well as by<br \/>other participants for their own uses in accordance with the same terms<br \/>applicable to me in clause 10 below. The Participant grants to the Organising<br \/>Secretariat and any third parties authorized by them all licences and<br \/>permissions needed to use his\/her image, name, likeness, voice, etc. (\u201cImage\u201d)<br \/>and his\/her contribution to the Event (which shall be understood as including<br \/>any and all contents, elements, data, presentations, speeches, information and<br \/>other materials created and\/or provided by him\/her for or in relation to the<br \/>Event, such as, without limitation, documents, texts, still or moving images,<br \/>other audio-visual contents, feedbacks, testimonials, quotes, etc.) (\u201cContent\u201d)<br \/>(together referred to herein as the \u201cContribution\u201d).<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">The Participant agrees and confirms that<br \/>the Content may be distributed worldwide through media platforms. The<br \/>Participant grants to the Organising Secretariat and any third parties<br \/>authorized by them, all licenses and permissions needed to use the Contribution,<br \/>in whole or in part, live and on demand, to promote and distribute the<br \/>Contribution in any media, format or technology now known or later devised,<br \/>without any restrictions, including of time or territory. The Organising<br \/>Secretariat and any third parties authorized by them may sub-license the<br \/>Contribution and\/or the rights thereto, for the purpose of promoting the<br \/>Conference. Such licenses and permissions include the right to edit, adapt,<br \/>translate, modify, combine with other materials, distribute, reproduce,<br \/>broadcast, publish, transmit and\/or otherwise use or exploit my Contribution.<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">It is understood that, in any case, the<br \/>Contribution will not be used to produce any content that creates a direct<br \/>personal commercial endorsement by the Participant of a particular product or<br \/>service, without Participant\u2019s consent. The Participant expressly confirms that<br \/>the licenses and permissions are granted for free and no payment shall be due<br \/>to any third-party.<\/span><\/p><p class=\"MsoNormal\"><b><i><span lang=\"EN-US\">10. Creation and Use of Content<\/span><\/i><\/b><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">The Participant acknowledges that is<br \/>authorised to take pictures or videos during the Event, as well as to make<br \/>references to the Event on his\/her personal owned and\/or controlled digital<br \/>platforms (such as social media accounts\/pages, blogs, websites, etc.) provided<br \/>that it (i) is for the sole purpose of promoting the Event, (ii) not used for<br \/>any promotional and\/or commercial activity or purpose, and (iii) respects the<br \/>rights of third-parties, including their right to privacy or private<br \/>information and intellectual property rights, any applicable laws, regulations<br \/>and rules and does not expose the Organising Secretariat, or any third party or<br \/>bring them into disrepute. The Participant authorises the Organising<br \/>Secretariat and any third parties authorised by them, to repost and\/or share on<br \/>their digital platforms, his\/her contents and posts related to the Event.<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-US\">The Participant expressly confirms that all<br \/>Content related to the Event are owned by him\/her and may be used without<br \/>restriction. The Participant warrants to the Organising Secretariat and any<br \/>third parties authorised by them that the Content is free of encumbrances and<br \/>does not infringe the rights, including intellectual property rights, of any<br \/>third-party.<\/span><\/p><p class=\"MsoNormal\"><b><span lang=\"EN-US\">11.
